© Commercial Association of Brokers Oregon/SW Washington (2/05) <br />OFFICE LEASE (OR) <br />ALL RIGHTS RESERVED <br />7 of 18 <br />SECTION 4. USE OF PREMISES. 1 <br /> 2 <br />4.1 Permitted Use. Tenant may use the Premises for Tenant's Permitted Use and for no other purpose 3 <br />without Landlord's written consent. Tenant shall not use the Premises in a manner that obstructs, annoys or 4 <br />interferes with the rights of other occupants of the Building. Tenant shall not cause any nuisance nor permit any 5 <br />objectionable fumes, electromagnetic waves, vibration, noise, light, or radiation to be emitted from the Premises. 6 <br />Tenant shall, at Tenant’s expense, install all necessary insulation as is required to muffle and render undetectable 7 <br />outside the Premises any sound or vibration from Tenant’s activities in the Premises. Tenant shall not engage in any 8 <br />activities that will in any manner degrade or damage the reputation of the Building or increase Landlord's insurance 9 <br />rates for any portion of the Building. 10 <br /> 11 <br />4.2 Equipment. Tenant shall only install such equipment in the Premises as is customary for the 12 <br />Permitted Use and shall not overload the floors or electrical circuits of the Premises or Building or change the wiring 13 <br />or plumbing of the Building or Premises. Tenant shall obtain Landlord’s prior written consent to the location of and 14 <br />manner of installing any plumbing, wiring or electrical, heating, heat- generating or communication equipment or 15 <br />unusually heavy articles. Any equipment, cables, wiring, conduit, additional dedicated circuits and any additional air 16 <br />conditioning required because of any such equipment installed by Tenant shall be installed, maintained and operated 17 <br />at Tenant's sole expense and in accordance with Landlord’s requirements. Landlord may prohibit the installation of 18 <br />equipment by any telecommunications provider whose equipment is not then servicing the Building. Tenant shall not 19 <br />install any equipment on or through the roof of the Building, or use or store any equipment or other items outside of 20 <br />the interior boundary of the Premises without first having obtained the prior written consent of Landlord, which 21 <br />consent Landlord shall not unreasonably withhold. 22 <br /> 23 <br /> 4.3 Compliance with Laws. Landlord warrants that as of the Lease Commencement Date, the 24 <br />Premises and the Building comply with all applicable laws, statutes, ordinances, rules and regulations of any public 25 <br />authority (the “Laws”). As of the Lease Commencement Date, Tenant shall at its expense promptly comply and 26 <br />cause the Premises to comply with all Laws applicable to Tenant’s particular use of the Premises (as opposed to 27 <br />those Laws applicable generally to office uses). 28 <br /> 29 <br /> 4.4 Rules and Regulations. Landlord may make and Tenant shall comply with all rules and regulations 30 <br />of the Building and the Property (the “Rules”) as Landlord may revise and enforce the Rules from time to time. The 31 <br />Rules are in addition to and shall not be construed to modify or amend this Lease in any way. The Rules may 32 <br />promote cleanliness, order, health and service to all occupants of the Building, regulate Tenant move-in or move-out 33 <br />activities, control the use of the Common Areas and establish smoking areas. Landlord may make any and all 34 <br />changes or additions to the Rules and may enforce the Rules in Landlord’s sole discretion. The Rules as of the date 35 <br />of this Lease are set forth in Exhibit D and are incorporated herein by reference. 36 <br /> 37 <br />SECTION 5. MAINTENANCE AND REPAIR. 38 <br /> 39 <br /> 5.1 Landlord Repairs. Landlord shall repair, maintain and/or replace, where necessary, the Common 40 <br />Areas and the roof, foundation, exterior walls, interior structural walls, all structural components, and all systems such 41 <br />as mechanical, electrical, HVAC, and plumbing of or in the Building and the Premises. Landlord shall not be 42 <br />responsible for repairs required by an accident, fire, or other peril or for damage caused to any part of the Property by 43 <br />any act or omission of Tenant or Tenant's employees or agents, except to the extent of insurance proceeds received 44 <br />by Landlord with respect to such damage or loss. Tenant expressly waives the benefits of any statute now or later in 45 <br />effect that would otherwise give Tenant the right to make repairs at Landlord's expense and deduct that cost from 46 <br />Rent owing to Landlord. 47 <br /> 48 <br /> 5.2 Tenant’s Repairs. Except for Landlord Repairs set forth in Section 5.1 above, Tenant shall: 49 <br /> 50 <br />(a) maintain all portions of the Premises and fixtures situated within the Premises in good 51 <br />order and repair; 52 <br /> 53 <br /> (b) maintain, repair and replace, if necessary, all special equipment, and decorative 54 <br />treatments installed by or at Tenant’s request and that serve the Premises only; 55 <br />DocuSign Envelope ID: 58B9EAAB-3323-4198-8EF0-00895196FD5A
